    Seif:

As you point out, the Product/Project Charter and the Product Innovation Charter appear similar and that is because both serve as "boundary" defining documents that help focus activities.  Part of this is being able to define what is "in" and what is "out" of the associated domain.

However, the critical difference is in the scope of the domain focus.  The Innovation Charter usually sits at the "50,000" foot view, while the Project Charter is closer to the "25,000" ft level.  Typically Project Charters are focused on the solution to a defined / selection problem, or delivery of a specific value proposition.  The Innovation Charter is focused on the identification of new problems or value propositions, within the boundaries defined by the charter.

Also note that both may not be limited to just a product, but may also be process or structure related.  One of the things you may find exclusively in the domain of the Innovation Charter is new business model innovation.  The desired to then pursue a new business model may spawn multiple projects need to implement organization changes needed to support the new business model.
